Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the OroMiQ platform, including the website at oromiq.com and all associated applications, APIs, and services (collectively, the "Service"), operated by OroMiQ Ltd, a company registered in England and Wales (company number 17083358) with its registered office at Bank Gallery, 13 High Street, Kenilworth, CV8 1LY ("OroMiQ", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Definitions
- "Account" means a registered account on the OroMiQ platform.
- "User" means any individual who accesses the Service, whether as an account holder or an invited team member.
- "Subscription" means the paid plan selected by the customer, including any add-on features.
- "Customer Data" means any data, content, or information uploaded, entered, or generated by a User within the Service, including notes, watchlists, and portfolio configurations.
- "Regulatory Data" means publicly available data sourced from regulatory bodies such as the Care Quality Commission (CQC), which OroMiQ processes and presents through the Service.
3. Account Registration
To use the Service, you must create an Account by providing accurate and complete information. You are responsible for maintaining the security of your Account credentials and for all activity that occurs under your Account.
You must notify us immediately if you become aware of any unauthorised use of your Account.
4. Subscriptions and Billing
4.1 Plans and Pricing
Access to the Service is provided through paid subscription plans. Current pricing is available on our pricing page. We reserve the right to change pricing with 30 days' notice.
4.2 Billing
Subscriptions are billed monthly in advance. Payments are processed through Stripe. You authorise us to charge your payment method on file for all applicable fees.
4.3 Seats
Each subscription includes a set number of user seats. Additional seats may be purchased at the per-seat rate for your plan, prorated for the remainder of the billing period.
4.4 Add-Ons
Certain features are available as add-ons to your base plan. Add-ons are billed per consultancy or provider account, not per seat, and are charged monthly alongside your subscription.
4.5 Cancellation
You may cancel your subscription at any time through the Settings page. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
5. Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service in any way that violates applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service.
- Reproduce, redistribute, sell, or commercially exploit any Regulatory Data or analytics provided through the Service, except for your own internal business use.
- Use automated tools, bots, or scrapers to extract data from the Service without our written consent.
- Interfere with or disrupt the integrity or performance of the Service.
6. Regulatory Data
The Service incorporates publicly available data from regulatory bodies including the Care Quality Commission (CQC). OroMiQ processes, enriches, and presents this data to provide intelligence and analytics.
While we take reasonable steps to ensure accuracy, Regulatory Data is provided "as is". OroMiQ does not guarantee the completeness, accuracy, or timeliness of any Regulatory Data. You should independently verify any information before making decisions based on it.
OroMiQ is not affiliated with, endorsed by, or acting on behalf of the CQC or any other regulatory body.
7. Intellectual Property
The Service, including its design, features, analytics, algorithms, and proprietary data enrichments, is owned by OroMiQ and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during the subscription term.
You retain ownership of your Customer Data. By using the Service, you grant OroMiQ a licence to process your Customer Data as necessary to provide and improve the Service.
8. Availability and Support
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
Support is provided via email. Enterprise customers may receive dedicated support as specified in their agreement.
9. Limitation of Liability
To the maximum extent permitted by law, OroMiQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.
Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid to OroMiQ in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless OroMiQ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service or other users.
Upon termination, your right to use the Service ceases immediately. We may retain your Customer Data for a reasonable period to allow you to export it, after which it will be deleted.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
